TERMS OF BUSINESS FOR THE INTRODUCTION OF TEMPORARY STAFF
1. DEFINITIONS
1.1 In these Terms of Business, the following definitions apply:
"Agency" refers to Well Seasoned Chefs.
"Candidate" refers to the individual introduced by the Agency to the Client for a temporary role.
"Client" refers to the person, firm, or corporate body engaging the Candidate’s services.
"Engagement" refers to the Client’s employment or use of the Candidate’s services under a temporary contract.
"Introduction" occurs when the Agency provides information identifying a Candidate to the Client.
"Fee" refers to the Agency’s daily charge for the Introduction of a Candidate.
2. THE CONTRACT
2.1 These Terms constitute the agreement between the Agency and the Client and are deemed accepted upon an Introduction or Engagement of a Candidate. 2.2 These Terms prevail over any other Client purchase conditions unless agreed in writing. 2.3 Any variation to these Terms must be agreed upon in writing.
3. AGENCY OBLIGATIONS
3.1 The Agency will introduce Candidates to the Client for temporary assignments. 3.2 The Agency will verify that the Candidate has a registered company or legal right to work as an independent contractor. 3.3 The Agency does not employ the Candidate and shall not be responsible for salary, tax, National Insurance, or other employment obligations.
4. CLIENT OBLIGATIONS
4.1 The Client shall:
Engage the Candidate directly and make payments to the Candidate as per agreed terms.
Ensure compliance with all relevant employment laws.
Confirm the Candidate’s suitability for the role. 4.2 The Client agrees to pay the Agency’s Fee of £10 per Candidate per day, payable weekly.
5. FEES AND PAYMENT TERMS
5.1 The Client shall pay the Agency a fee of £10 per day per Candidate, invoiced weekly. 5.2 Payments must be made within 7 days of invoice date. 5.3 Late payments may incur interest at 4% per month.
6. LIABILITY
6.1 The Agency is not responsible for any acts, omissions, or work quality of the Candidate. 6.2 The Agency shall not be liable for losses arising from a Candidate’s performance or conduct.
7. DATA PROTECTION
7.1 The Agency and Client shall comply with UK GDPR in processing Candidate data.
8. LAW AND JURISDICTION
8.1 These Terms shall be governed by the laws of England & Wales. 8.2 Any disputes shall be subject to the exclusive jurisdiction of English courts.
